Ghana Gold Mining Concessions: How Institutional Buyers Structure Verified Offtake

Ghana is the largest gold producer in Africa and the sixth largest in the world. Its regulatory framework — anchored by the Minerals Commission of Ghana and the Minerals and Mining Act, 2006 (Act 703) — is among the most developed on the continent. Yet institutional buyers approaching the Ghanaian gold market for the first time frequently encounter the same set of structuring challenges: how to verify concession legitimacy, how to interpret laboratory certification, and how to structure offtake agreements that will withstand due diligence by sovereign wealth funds, commodity trading houses, and international refiners.

This article addresses each of those questions directly.

The Ghana Concession Framework

All mineral rights in Ghana vest in the Republic of Ghana by virtue of Article 257(6) of the 1992 Constitution. The Minerals Commission grants concession rights through a licensing system with four primary licence categories relevant to gold:

Reconnaissance Licence — permits surface-level exploration over a defined area. Does not confer mining rights.

Prospecting Licence — permits subsurface exploration including drilling and sampling. Valid for three years, renewable once.

Mining Lease — the primary production licence. Grants the right to mine, process, and export minerals from a defined concession area. Valid for 30 years, renewable. This is the licence category that underpins institutional offtake.

Small-Scale Mining Licence — covers operations under 25 acres. Not typically the basis for institutional offtake at volume.

For institutional buyers, the critical document is the Mining Lease. Verification requires confirming the lease number, the registered leaseholder entity, the concession coordinates, and the current status with the Minerals Commission. The Commission maintains a public register; independent verification through a Ghanaian mining attorney is standard practice for transactions above $5 million.

GA-Ameri Plus Concession Holdings

GA-Ameri Plus Limited holds verified gold mining concessions across three corridors in Ghana's primary gold belt:

Kofipare Concession — 52.05 KM² in the Brong-Ahafo Region. This is the group's primary concession, covering a significant portion of the Kofipare structural corridor. The concession is held under a Mining Lease registered with the Minerals Commission.

Asamama Corridor — located in the Ashanti Region, adjacent to established producing mines. The Asamama corridor benefits from proximity to existing processing infrastructure.

Akrofufu Anyinam Corridor — in the Eastern Region, covering a structurally prospective zone with documented artisanal production history.

All three concessions are held under the legal authority of Chief Nii Ayiteyanumle Oyanka I, whose traditional land authority covers the relevant customary areas. This dual-track legitimacy — statutory Mining Lease plus customary land authority — is the gold standard for concession security in Ghana.

Understanding Flame Assay Certification

Laboratory certification is the primary quality verification instrument for institutional gold transactions. The flame assay (also called fire assay) is the internationally recognised standard for determining gold content in ore samples and dore bars.

How flame assay works: A representative sample is fused with lead oxide and other fluxes at approximately 1,000°C. The lead collects the precious metals and sinks to the bottom of the crucite. The lead bead is then cupelled — heated in a porous bone-ash cup — which absorbs the lead and leaves a precious metal bead. The bead is weighed and dissolved in acid; gold and silver are separated and quantified by atomic absorption spectroscopy or ICP-OES.

What the certificate tells you: A flame assay certificate from an accredited laboratory (SGS, Bureau Veritas, ALS, or an equivalent ISO 17025-accredited facility) will state:

  • Sample identification and chain of custody
  • Gold grade in grams per tonne (g/t) for ore, or fineness (parts per thousand) for dore
  • Silver content
  • Laboratory accreditation number
  • Analyst signature and date

What it does not tell you: Flame assay certifies the sample presented to the laboratory. It does not certify the volume of ore in the ground, the continuity of mineralisation, or the total recoverable gold from the concession. For resource estimation, a JORC- or NI 43-101-compliant technical report prepared by a Competent Person is required.

For institutional offtake at the dore stage — where the buyer is purchasing refined product rather than ore — flame assay certification of each shipment lot is the standard verification instrument.

Structuring a Compliant Offtake Agreement

An offtake agreement for Ghanaian gold dore must address several elements that are specific to the regulatory and operational context:

Export Permit Compliance Ghana requires an export permit for each gold shipment. Permits are issued by the Minerals Commission and the Bank of Ghana (for dore). The offtake agreement should specify which party is responsible for obtaining export permits and what happens if a permit is delayed or refused.

Precious Minerals Marketing Company (PMMC) The PMMC is the state entity responsible for purchasing and marketing gold from small and medium-scale miners. For large-scale Mining Lease holders, direct export is permitted, but PMMC assay certification is often required as a secondary verification. Institutional buyers should confirm whether PMMC certification is required for their specific transaction structure.

Royalty and Tax Obligations Ghana imposes a mineral royalty of 5% of gross revenue on gold production. Corporate income tax applies at 35% for mining companies. These obligations sit with the concession holder, not the offtake buyer — but they affect the seller's net realisation and therefore the pricing structure of the offtake.

Pricing Mechanism Institutional offtake agreements for gold dore are typically priced at a discount to the London Bullion Market Association (LBMA) spot price, adjusted for the dore's assayed fineness. The discount reflects refining costs, logistics, and the buyer's margin. Agreements should specify the reference price (LBMA AM or PM fix), the pricing date (shipment date, arrival date, or average), and the fineness adjustment formula.

Delivery Terms Incoterms for gold dore shipments from Ghana are typically CIF (Cost, Insurance, Freight) to the buyer's nominated refinery, or EXW (Ex Works) at the Ghanaian processing facility. The choice affects insurance obligations, title transfer, and the point at which the buyer assumes price risk.

Due Diligence Checklist for Institutional Buyers

Before committing to a Ghanaian gold offtake, institutional buyers should verify:

  • Mining Lease number and registered leaseholder confirmed with Minerals Commission
  • Concession coordinates verified against cadastral map
  • No encumbrances, liens, or competing claims on the Mining Lease
  • Customary land authority documentation (where applicable)
  • Laboratory flame assay certificates from ISO 17025-accredited facility
  • Export permit history and current permit status
  • PMMC certification requirements confirmed
  • Royalty payment status confirmed with Minerals Commission
  • Corporate structure of the concession holder verified (CAC/Ghana Registrar General)
  • Anti-money laundering (AML) and Know Your Customer (KYC) documentation

Why Institutional Buyers Choose GA-Ameri Plus
